1.  DEFINITIONS


(a)      Hadleigh Glass shall be called HG


(b)      Written notice where required shall be given by prepaid Recorded Delivery Post to HG head office.


(c)      Premises shall mean installation address.


2.  PARTIES:
This agreement is made between HG and the purchaser and shall not be assigned without HG's written agreement.


3. ILLUSTRATIONS:
Representatives and showroom samples, brochures and photographs are intended as a general guide to the functioning of a typical unit and the materials used. The units specified in the schedule to this contract will be manufactured according to the published specification but, pursuant to the company's policy of continuous improvements to It's products, it reserves the right to modify it's specifications from time to time.


4.  CANCELLATION:
You are at liberty to cancel this agreement before the end of the seventh day following the day which you receive a copy of it. In order to cancel you must send us notice in writing. If after that you wish to cancel HG will be prepared to consider releasing you from contract as long as you compensate HG i.e. sales/administration cost, loss of profit and further more HG may have incurred costs on your behalf for special materials to be used only for this installation. Any request for cancellation at this stage can only be considered if submitted to us in writing.


5.  VARIATION:


(a)      Any variation of this agreement must be made and signed by both parties.


(b)      The estimated period of delivery will run from the date of such variation (or when the contract is financed by a building society or finance    company from the date that confirmation of approval of the loan is received, whichever is the later)      


6.  SURVEY:


(a)      This agreement is conditional upon HG's surveyors of the schedule of work following inspection.


(b)      HG reserves the right to make such modifications to the schedule of work, as their surveyor deems necessary.


(c)      If the surveyors approval is not given for whatever reason, the deposit will be refunded without interest, and the agreement will be at an end.


7.  PREMISES:
The sole purpose of HG's surveyors inspection is to ascertain the feasibility of the installations shown in the schedule of work. He will not undertake a general survey of the premises. His inspection will be confined to those areas of the premise which directly relate to the proposed installation. HG will not be responsible for remedying hidden structural complications which become evident at installation.        
           


8.  DELIVERY:


(a)      The anticipated delivery date quoted above will run from the date of this agreement unless it is financed by a Building Society or Finance Company in which case the period will run from the date that confirmation of approval of the loan is received by HG.


(b)      If the work is not substantantially completed within the estimated delivery period stated in this agreement the purchaser may serve written notice on HG requiring HG to complete the work within such reasonable period as the purchaser may specify (in general the company would accept six weeks as being reasonable.)


(c)      Notwithstanding the foregoing HG shall not be liable for any delay in the completion of the work which arose from causes beyond its reasonable control and in the event that time had been made the essence of the contract, time shall not run during any period when delay on that account operating.


(d)      Upon receipt of notice that the goods are ready for installation by HG the purchaser shall afford access to the premises forthwith. Non-acceptance of installation will render the purchaser liable for further charges.


9.  ADDITIONAL WORK: (BUILDING, MECHANICAL, ELECTRICAL)


(a)      HG does not undertake to move services, fixtures or fittings which are ancillary to the basic structure of the property, eg, pipes, electricity, telephone or television cables.


(b)      HG will endeavour to ensure that the works match existing finishes but will not be liable for non-matching due to weathering of existing materials and cannot guarantee the matching of external specialist finishes such as pebble-dashing, Tyrolean or similar materials. When variations occur in existing plaster lines HG cannot guarantee the equal amounts of sub frame will bevisible all round.


(c)      HG will make good any damage caused in the course of installation to plaster, floor, rendering, brick work or pointing immediately surrounding any window or door installed but HG cannot guarantee to avoid causing superficial damage to surrounding wallpaper and paint work or  to avoid damage to ceramic tiles in the same area. The making of good of that damage is the purchaser's responsibility.


(d)      HG cannot undertake to remove intact any glass, frames or secondary double-glazing units or guarantee to remove or replace existing secondary double-glazing units without causing damage.


(e)      All materials removed during the course of installation will be cleared from the site and cannot be retrieved thereafter. If any materials are required to be retained (but see this clause (d) above) this must be clearly stated on the contract.


(f)      The company cannot be held responsible for matching existing floor level. All bases will be made to existing damp course level, if not otherwise stated.


(g)      All bases carried out by the purchaser must be constructed to the standards laid down by the company and must be to within a tolerance of 10mm, if not the installation can be refused and extra cost can be incurred.


(h)     Inclusive ground/building works, quotations allow for a maximum footing width of 450mm by 1 meter deep and best matching standard facing bricks will be surcharged accordingly.


(i)       Quotations for electrical cabling and copper pipe work allow surface fixing.


10.  PAYMENT:


(a)      HG has quoted its price to you on the following that you will pay in full when the work is substantially complete. Accordingly HG rely on you to pay the whole of the balance of the price when given notice of substantial completion by way of an invoice. Any sum outstanding following substantial completion will be subject to interest, which shall run from the date of the invoice to the date of actual payment at the rate of 5% above the base rate for the time being fixed by Lloyds TSB Bank. HG's Personnel are authorised to accept cash, a cheque or Home Improvement Loan documents in favour of HG Company only. If there is some minor defect in the work HG expect you to rely on its assurance that it will be rectified in accordance with the terms of its guarantee. Your failure to pay the balance at substantial completion would be a breach of this agreement.


(b)      Title of goods supplied shall not pass to purchaser until payment has been received by the Company.


(c)       A 2.5% surcharge will be applied to credit/business card payments.


11.  V.A.T


Will be payable by the Purchaser at the appropriate rate.


12.  GUARANTEE:


HG undertake to replace free of charge any defective unit supplied by the company for a period of 10 years from the date of installation in accordance with the companys written warranty, see specimen issued upon receipt of payment provided written notice of the defect is given within 28 days of the date upon which discovery of the defect ought reasonably to have been made. Removal and / or repositioning of the installation by any persons other than HG personnel will invalidate the warranty. NB Supply only 5 year glazing warranty and mechanical parts 1 year, excluding labour. The companys guarantee does not cover any asthetic wear gold/brass or any coated metal furniture.


13.  GLASS:


The guarantee does not extend to defects in the glass excluded by the manufactures guarantee. The glass used is of merchantable quality and considered fit for the purpose intended and the company will not accept liability for imperfections of a minor or insignificant nature. (As per guidelines laid down by the Glass and Glazing Federation). Glass is for looking through, not at. Blemishes or scratches should be viewed directly from two metres in natural light.


14.   COLOUR:


Hadleigh Glass cannot guarantee that any paint colour/ RAL number quoted on the systems they offer will achieve an exact colour match to RAL    colours on different systems or products.


15.   CONDENSATION:


(a)      HG double glazed units are designed primarily to reduce the heat loss which occurs through single glazing. The presence of condensation is dependent upon the environment within the dwelling. For the avoidance of misunderstanding, please refer to HG leaflet about condensation.


(b)      HG gives no warranty concerning the incidence, prevention of condensation following the installation of its products neither do its personnel have authority to give such warranty, excepting condensation within the sealed units.


16.    COMPLAINTS:


(a)      In the interest of efficiently dealing with any query, written notice of any enquiry should be given.


(b)      The Purchaser hereby agrees to afford HG a reasonable opportunity of remedying any complaints for which HG are liable.


(c)       All Hadleigh Glass products are sold to the standards published on our Product Quality Charter. This document is available upon request and mirrors the standards and the method of inspection which is considered  standard to our industry and promoted by our suppliers.  


17.    LAW:
NOTHING IN THESE TERMS AFFECTS THE PURCHASER'S STATUTORY RIGHTS.
